Calapooia Watershed Council Bylaws (revised 01-02-01)

 

PURPOSE

 

The Calapooia Watershed Council was formed to share information, reduce duplication of activities, help address watershed management issues in the Upper and Lower Calapooia Watershed and to provide a framework for coordination and cooperation among key interests.

 

MISSION STATEMENT

 

The Calapooia Watershed Council shall provide opportunities for membership to cooperate in promoting and sustaining the health of the watershed and its communities.

 

AREA

 

The Calapooia Watershed encompasses all lands drained by the upper and lower Calapooia River and its tributaries.

 

MEMBERSHIP:

 

The Calapooia Watershed Council shall endeavor to recruit and maintain membership representative of a broad range of interests in reasonable proportion and in accordance with the stated purposes.

 

Membership of the Council is open to any landowner or agent of a landowner, leasee, and/or resident of the watershed.  Members shall complete a registration form that indicates a desire to take an active part and/or to be kept informed of Calapooia Watershed Council activities.  Registered members shall be considered voting members.

 

ASSOCIATE MEMBERS:

 

Organizations, groups, and individuals having interests or responsibilities consistent with the purpose and mission of the Calapooia Watershed Council may be associate members of the Calapooia Watershed Council by completing a registration form; associate members may be removed from the Calapooia Watershed Council by formal action of the Council.  Associate Members are non-voting members.

 

MEMBERSHIP FEES:  The Council may establish a membership fee schedule for use in carrying out its business.

 

EQUAL OPPORTUNITY:  The Council shall comply with all requirements regarding the nondiscrimination provisions of the Title VI of the Civil Rights Action of 1975 as amended.

 

STEERING COMMITTEE

 

The Council will select 11 members to act as a Steering Committee, with the authority and responsibility to conduct the ongoing business of the Calapooia Watershed Council.  Steering Committee members shall be elected by a majority vote of the active members present at the annual meeting.  A Steering Committee member must be an active, voting member of the Council.


The Steering Committee shall appoint a nominating committee to secure nominations for all vacant Steering Committee positions.  Effort should be made to maintain a broad range of interests on the Committee.  Nominations will also be taken from the floor.

 

The term of office for these 11 positions will be for 2 years, beginning in January.  In order to maintain continuity, each position will be assigned a number 1 through 11.  Positions 1 through 6 will be selected in years ending in an even number.  Positions 7 through 11 will be selected in years ending in an odd number.

 

The Steering Committee will in turn select a chair or co-chair to serve as spokesperson, call and manage meetings, sign necessary as the specific representative of the Watershed Council, and perform other tasks as assigned by the Council.  The Steering Committee may select other officers as needed.

 

A quorum for the Steering Committee shall be a simple majority of the total Steering Committee membership. 

The Steering Committee has the responsibility to develop and implement guidelines, policies, and procedures governing the orderly business of the Calapooia Watershed Council.  As they are developed, these Guidelines, Policies and Procedures will become addenda to these bylaws.

 

The Steering Committee may form subcommittees of its own members to perform specific functions related to the business of the Watershed Council.  The Steering Committee may form task groups that include other Council members to focus on specific issues related to the mission of the Watershed Council.  The Steering Committee and/or the Council (membership) will identify technical advisors to provide technical data and assistance and may call on these experts as needed.

 

A member of the Steering Committee may be removed from that position for failure to attend three (3) consecutive meetings.  The Steering Committee will appoint a current watershed member to fill a vacancy created by a removal or resignation.  The tenure of the appointed position will remain the same as the position being filled.

 

CHANGES TO THE BYLAWS AND GUIDELINES, POLICIES AND PROCEDURES

 

These bylaws may be amended or altered by a majority vote of the members in attendance at an annual meeting, or any regular or special meeting where such action has been announced in the meeting’s notice.

 

These bylaws may be repealed and new bylaws adopted by a majority vote of the watershed council at the annual meeting, where such action has been announced in the annual meeting notice.  This action would require a new request for formal recognition by the Linn County Board of Commissioners.

 

The steering committee may make practical or necessary changes to the Guidelines, Policies and Procedures.  A record of changes to these rules of operation will be reported in meeting minutes, and duly reflected in the Guidelines, Policies and Procedures addendum to the bylaws at least annually.

 

RECOGNITION

 

In Resolution 99-604 (November 10, 1999) the Calapooia Watershed Council received formal recognition by the Linn County Board of Commissioners as the voluntary watershed council intended to develop and implement a watershed action program to protect and enhance the natural resources of the entire Calapooia River Watershed.

 

 

Original Bylaws were approved 9-23-99 in a public meeting held to form the Calapooia Watershed Council.  Revised Bylaws approved 3-15-2001, by a unanimous vote of the Calapooia Watershed Council at their annual meeting.
